The Swiss Code of Obligations is a central code of Swiss civil law that regulates the legal relationships between private individuals. It includes five books that cover various aspects of contract law, law of obligations and property law, including the formation, content and termination of contracts, as well as liability for breach of contract and tort. The Code of Obligations is an important code of law for business and everyday life in Switzerland, as it forms the basis for many legal relationships and contracts and has been in force since 1912, whereby it is regularly adapted to social and economic developments.

Art. 699 Convening and conducting the general meeting 1. Method of convening the meeting (1)
1 The general meeting shall be convened by the board of directors or, where necessary, by the external auditors. The liquidators and the representatives of bond creditors shall also have the right to convene general meetings.
2 The ordinary general meeting shall be held annually within six months of the end of the financial year.
3 Shareholders may request that a general meeting be convened, provided they together hold at least one of the following participations:1. in the case of companies whose shares are listed on a stock exchange: 5 per cent of the share capital or of the votes;2. in the case of other companies: 10 per cent of the share capital
or of the votes.
4 Their request that the meeting be convened must be made in writing. The lis on the agenda and motions must be included in the request.
5 Where the board of directors fails to grant such a request within a reasonable time, but at the most within 60 days, the requesting parties may request the court to order that the meeting be convened.
